1. Acceptance of Terms

By accessing or using Celebs Vietnam ("the Application"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application.

2. Service Description

Celebs Vietnam is a customer relationship management platform designed for Vietnamese content creators, KOLs (Key Opinion Leaders), and celebrity talent management. The Application provides:

• Content Pipeline Management — track video production from ideation through publication
• Deal and Booking Management — manage brand partnerships, sponsorships, and booking arrangements
• Event Scheduling — coordinate filming dates, brand events, and work commitments
• YouTube Analytics — view read-only performance data for connected YouTube channels
• Financial Reporting — track revenue and expenses

3. Account Registration and Security

• You must sign in using a valid Google Account to use the Application
• You are responsible for maintaining the security of your account credentials
• You must not share your account access with unauthorized persons
• You must notify us immediately at ducreaction.work@gmail.com if you suspect unauthorized access to your account

4. User Responsibilities

By using the Application, you agree to:

• Provide accurate and complete information
• Use the Application only for lawful purposes
• Comply with Google's Terms of Service when using features that integrate with Google services
• Not attempt to reverse engineer, decompile, or disassemble any part of the Application
• Not use the Application to store or transmit content that violates Vietnamese law or any applicable law
• Not interfere with or disrupt the Application's infrastructure

5. Google API Integration

The Application integrates with Google APIs (YouTube Data API, YouTube Analytics API) to provide its features. By connecting your Google Account:

• You authorize Celebs Vietnam to access the specific Google services and data scopes described in our Privacy Policy
• You can revoke this access at any time through your Google Account Permissions
• Your use of Google services through Celebs Vietnam is also subject to Google's Terms of Service

6. Intellectual Property

• The Application, including its design, code, and documentation, is the intellectual property of Ducism Media
• Content you create and store through the Application (scripts, reports, data) remains your property

7. Prohibited Uses

You must not use the Application to:

• Violate any applicable law or regulation, including Vietnamese law
• Infringe upon the intellectual property rights of others
• Distribute spam, malware, or harmful content
• Attempt to gain unauthorized access to other users' data or accounts
• Resell or redistribute the Application or its features without authorization
• Use automated tools to scrape, crawl, or extract data from the Application beyond normal usage

8. Account Suspension and Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in activity that threatens the security or integrity of the Application
• Your use of the Application violates applicable law
• We are required to do so by law or legal process

Upon termination:

• Your access to the Application will be revoked
• Your data will be handled in accordance with our Privacy Policy

9. Disclaimer of Warranties

The Application is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties that the Application will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of data obtained through third-party APIs (including Google APIs)

We do not guarantee the availability of Google services integrated with the Application, as these are subject to Google's own terms and availability.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Ducism Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Application
• Our total liability for any claims related to the Application shall not exceed USD $100 (one hundred US dollars)
• We are not liable for any data loss resulting from third-party service outages (including Google services), your failure to maintain backups, or unauthorized access to your account

11. Indemnification

You agree to indemnify and hold harmless Ducism Media, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Application
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from these Terms or your use of the Application shall be subject to the exclusive jurisdiction of the courts of Ho Chi Minh City, Vietnam.

13. Changes to These Terms

We may update these Terms from time to time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will notify you via email
• Your continued use of the Application after changes constitutes acceptance
